These terms govern analysis, consultation and training services provided by DataCore Analytics, a company registered in Kenya. They apply alongside the individual project agreement signed for each engagement. Where the two differ, the project agreement takes precedence.

Terms and Conditions of Service

1. Scope of Services

DataCore Analytics provides bioinformatics, biostatistics and data science analysis, consultation and training. We are an analysis-only organisation: we do not operate a wet laboratory, do not handle physical samples, and do not generate sequence data.

The scope of each engagement is defined in a written analysis plan which you approve before work begins. Work outside that scope is quoted separately in writing before it is undertaken.

2. Quotations and Fees

Quotations are valid for 30 days from issue. The price stated in an approved analysis plan is fixed for the scope described. If the scope changes, or if data received differs materially from what was described at quotation, we will re-quote before continuing.

Unless the project agreement states otherwise, invoices are issued 50% on commencement and 50% on delivery, payable within 30 days. Institutional partners are invoiced according to their partnership agreement.

3. Client Responsibilities

You are responsible for:

  • Providing data in an accepted format together with complete metadata, as set out in our data submission guidelines
  • Holding all necessary ethical approvals, consents and data transfer agreements for the data supplied
  • Confirming that you have the right to share the data with us for the purposes described
  • Responding to questions and reviewing draft results within the timeframes agreed in the analysis plan

4. Timelines

Timelines in the analysis plan run from the date verified data is received, not the date of order. Delays caused by incomplete data, missing metadata or slow client review extend the delivery date accordingly. We will always tell you promptly if a deadline is at risk.

5. Confidentiality

We treat all client data, study designs, unpublished results and communications as confidential. Every consultant signs a confidentiality agreement and a code of conduct. Confidentiality obligations survive the end of the engagement indefinitely.

We will not name you as a client, describe your project publicly, or use your institution's name in marketing without your written permission.

6. Data Handling

Data handling is governed by our privacy and data handling policy and by the data terms in your project agreement. In summary: access is restricted to the named project team and logged, storage is encrypted, and data is returned, retained for an agreed period, or securely deleted at the end of the engagement.

We do not reuse client data for other projects, method development or machine learning model training without written permission.

7. Intellectual Property

You retain all rights in the data you supply and in the results generated from it. We retain ownership of our general methods, know-how and any pre-existing or generic code and pipelines used to produce those results.

Analysis code written specifically for your project is delivered to you with a licence to use, modify and republish it. Where the code is of general utility and contains nothing confidential to you, we may reuse the generic components in other work.

8. Authorship

Where a consultant's intellectual contribution meets the authorship criteria of the International Committee of Medical Journal Editors, authorship should be offered. Whether that applies is agreed in writing at the start of each project rather than negotiated at submission.

Where authorship is not appropriate, we ask for acknowledgement in the resulting publication. Fee-for-service analysis carries no automatic authorship claim.

9. Revisions

One round of revisions following delivery of draft results is included in every quotation. Further rounds, or changes that alter the agreed scope, are quoted separately.

10. Limitations and Warranties

We undertake to perform services with the reasonable skill and care expected of qualified professionals in the field, using appropriate and current methods.

We do not warrant that any analysis will produce a statistically significant, publishable or commercially useful result. Where data cannot support the question asked of it, we will say so and you will be charged only for work performed to that point.

Our total liability under any engagement is limited to the fees paid for that engagement. We are not liable for indirect or consequential loss, including loss of grant funding, publication opportunity or profit.

11. Research Use Only

All services are provided for research purposes only. They are not intended, validated or approved for clinical diagnosis, treatment decisions, patient management or individual health assessment. You are responsible for ensuring any downstream use complies with the applicable regulatory framework in your jurisdiction.

12. Cancellation

You may cancel an engagement at any time in writing. You will be invoiced for work completed to the date of cancellation plus any non-recoverable committed costs. We may decline or discontinue an engagement where data cannot support the stated objectives, where required approvals are absent, or where the work would breach professional or ethical standards; in that event you are charged only for work performed.

13. Governing Law

These terms are governed by the laws of Kenya. Disputes will be addressed first through good-faith discussion between the parties, and failing that through the courts of Kenya, unless the project agreement specifies an alternative forum.
